Notice of 2022 Governing Council Elections



I wish to formally notify you that the Annual General Meeting (AGM) of the Institute will hold on Thursday, 30th June 2022 at the Institute’s Secretariat, 28 Cameron Road, Off Alfred Rewane Road, Ikoyi, Lagos at 11.00 a.m. At the said meeting elections into the Governing Council of the Institute shall be held.



Members are therefore invited to nominate candidates for the 2022 Governing Council elections. (Nomination and Contestant Forms are attached below)

The Memorandum and Articles of Association of the Institute stipulate among other things, as follows:



Article 27:

There shall be as the Governing body of the Institute, a Council charged with the policy, direction and oversight of the Institute. The Council shall consist of the following

members, that is:

  1. Fourteen persons being members of the Institute duly elected at an Annual General Meeting;
  2. All Past Presidents of the Institute;
  3. 3 Branch Chairmen
  4. Hon. Treasurer (To be appointed by the Governing Council on the recommendation of the President.)
  5. Hon. Legal Adviser (To be appointed by the Governing Council on the recommendation of the President)
  6. The Director-General of the Institute.

Article 33:

At the first Annual General Meeting all members of the Council shall retire from office. At each subsequent Annual General Meeting, one-third of the members of the Council (excluding the President, 1st Vice President and 2nd Vice President), falling under Article 27 or if their number is not a multiple of three, the number nearest to one-third, shall retire from Office. A member of the Council retiring shall retain office until the close or the adjournment of the meeting. Without prejudice to the foregoing, the President, 1st Vice President and 2nd Vice President shall not be subject to rotation for the duration of their tenure and shall not be taken into account in determining the order of retirement by rotation of other members of the Council.



Article 34:

The members of Council to retire in every year shall exclude the President, 1st Vice President, 2nd Vice President and shall be those who have been longest in office since their last election or appointment, but as between persons who became or were last re-elected members of the Council on the same day, those to retire shall (unless otherwise agreed among themselves) be determined by lot.

Accordingly, the Council members that have been the longest in office since their election/appointment will be retiring from Council. In compliance with Article 34 of the Memorandum and Articles of Association of the Institute, five (5) vacancies exist on the Governing Council for the 2022 elections. The retiring members of the Governing Council are:

  1. Mrs. Irene Ubah, F.IoD - re-elected in 2020
  2. Alhaji Lamis Dikko,F.IoD - elected in 2020
  3. Prince Abimbola Olashore, F.IoD – elected in 2020
  4. Mrs. Nwando Chukwurah, F.IoD - elected in 2020

All financial retiring members of the Governing Council who indicate interest in being re-elected and are qualified for election, are eligible for re-election.



NOTE:

  • Only members who have paid their 2022 annual subscription as at Tuesday, 31 May 2022 may validly nominate or endorse candidates or aspire to be elected to Council.
  • The attached Forms must be returned to IoD Nigeria Secretariat or by email to [email protected] not later than Monday, 23 May 2022 with the following:
  • Passport photograph of the Nominee (preferably with white background).
  • A Profile of the Nominee (not more than one page of A4 size ).

    Eligibility Requirements

    Any member wishing to contest election/re-election to the Governing Council must:

    1. Be in the Fellows Membership Category.
    2. Have been a Financial Member of IoD Nigeria for minimum of 5 (Five) years i.e., in good financial standing.
    3. Have promoted the cause/objectives of the Institute in a recognizable manner through active participation in the Institute’s programmes or support of funded activities or served actively in a Committee for at least two years in the last six years.
    4. Have attended any 2 (two) of the flagship programmes of the Institute in the last 5 years.
    5. Have his/her nomination signed by two members in good financial standing as at 31 May 2022.
    6. Have his/her candidacy endorsed by one member in good financial standing as at 31 May 2022 and serving actively on one of the Institute’s Committee.
    7. Members are at liberty to nominate more one member for the Governing Council elections
    8. Members nominating candidates should be different from Members that will endorse such nominations. A member cannot and should not nominate and endorse a candidate at the same time.
    9. A member of Council seeking re-election must have attended at least 2 (two) meetings of Council preceding his/her re-election.

      Guidelines

      1. Members can nominate a candidate for election into the Council. Such candidate will be expected to complete a nomination form, consent in writing and comply with items 4 to 7 of these guidelines.
      2. Printed collated briefs on nominees (including interested retiring members) with passport photographs will be circulated to eligible members along with voting papers.
      3. Campaigns for election are not allowed. While it is recognized that subtle indications of interest cannot be entirely eliminated, any unethical solicitation of votes is prohibited. Unethical campaign tactics include but are not limited to:

      i. Unsolicited text messages to members by candidates or other members on behalf of candidates;

      

      ii. Defamatory text messages against other candidates;

      

      iii. Visits to the Secretariat for campaign purposes;

      

      iv. Working in groups or alliances to solicit for votes or to discredit other candidates;

      

      v. Open discussions on elections or solicitation for votes at committee meetings;

      

      vi. Receiving undue reference/recognition at the Institute’s functions.

      

      vii. Offering any form of financial inducement including assisting other members with the payment of annual subscriptions during election year.

      

         

      4. Only members who are financially up to date (in good financial standing), as at 31st May 2022 are eligible to vote during the elections. 

      5. Only members who have paid their 2022 annual subscription as at Tuesday, 31st May 2022 may validly nominate or endorse candidates or aspire to be elected to Council.

      6. Completed Nomination forms duly completed, must be submitted via email to [email protected] not later than Monday, 23 May 2022 with the following attached:

      1. Passport photograph of the Nominee
      2. A brief profile of the Nominee (not more than one page in Word format)

          7. Voting will commence on the 3rd June 2022 and will end at 11.59pm    on the 24th June 2022.

          8. Members are required to vote for a maximum of only five (5)            candidates of their choice by ticking the box beside the name of the            candidate they have chosen.

            

            Sanctions

            The Body of Scrutineers shall investigate any act or activity or complaints brought to its attention. A breach of any of the rules hereinbefore set out will attract any or all of the following sanctions:

            1. Candidate will be disqualified from participating in the Election process.
            2. Even after declaration of results, candidates found liable shall have their elections nullified and the candidate with the next highest vote in that category will be declared the winner and sworn in.
            3. Suspension from future elections for three (3) years.

            Elections

            The Governing Council Elections are scheduled to hold from 3rd – 24th June 2022. The Voting is completely online. Voters are expected to vote only once using the online Election Runner platform.

            Voting url/link with a unique Voter ID will be sent via email to all eligible voters. Voters are to follow the link and cast their votes on the voting webpage.
