I wish to formally notify you that the Annual General Meeting (AGM) of the Institute will hold on Thursday, 30th June 2022 at the Institute’s Secretariat, 28 Cameron Road, Off Alfred Rewane Road, Ikoyi, Lagos at 11.00 a.m. At the said meeting elections into the Governing Council of the Institute shall be held.
Members are therefore invited to nominate candidates for the 2022 Governing Council elections. (Nomination and Contestant Forms are attached below)
The Memorandum and Articles of Association of the Institute stipulate among other things, as follows:
Article 27:
There shall be as the Governing body of the Institute, a Council charged with the policy, direction and oversight of the Institute. The Council shall consist of the following
members, that is:
- Fourteen persons being members of the Institute duly elected at an Annual General Meeting;
- All Past Presidents of the Institute;
- 3 Branch Chairmen
- Hon. Treasurer (To be appointed by the Governing Council on the recommendation of the President.)
- Hon. Legal Adviser (To be appointed by the Governing Council on the recommendation of the President)
- The Director-General of the Institute.
Article 33:
At the first Annual General Meeting all members of the Council shall retire from office. At each subsequent Annual General Meeting, one-third of the members of the Council (excluding the President, 1st Vice President and 2nd Vice President), falling under Article 27 or if their number is not a multiple of three, the number nearest to one-third, shall retire from Office. A member of the Council retiring shall retain office until the close or the adjournment of the meeting. Without prejudice to the foregoing, the President, 1st Vice President and 2nd Vice President shall not be subject to rotation for the duration of their tenure and shall not be taken into account in determining the order of retirement by rotation of other members of the Council.
Article 34:
The members of Council to retire in every year shall exclude the President, 1st Vice President, 2nd Vice President and shall be those who have been longest in office since their last election or appointment, but as between persons who became or were last re-elected members of the Council on the same day, those to retire shall (unless otherwise agreed among themselves) be determined by lot.
Accordingly, the Council members that have been the longest in office since their election/appointment will be retiring from Council. In compliance with Article 34 of the Memorandum and Articles of Association of the Institute, five (5) vacancies exist on the Governing Council for the 2022 elections. The retiring members of the Governing Council are:
- Mrs. Irene Ubah, F.IoD - re-elected in 2020
- Alhaji Lamis Dikko,F.IoD - elected in 2020
- Prince Abimbola Olashore, F.IoD – elected in 2020
- Mrs. Nwando Chukwurah, F.IoD - elected in 2020
All financial retiring members of the Governing Council who indicate interest in being re-elected and are qualified for election, are eligible for re-election.
NOTE:
- Only members who have paid their 2022 annual subscription as at Tuesday, 31 May 2022 may validly nominate or endorse candidates or aspire to be elected to Council.
- The attached Forms must be returned to IoD Nigeria Secretariat or by email to [email protected] not later than Monday, 23 May 2022 with the following:
- Passport photograph of the Nominee (preferably with white background).
- A Profile of the Nominee (not more than one page of A4 size ).
